A guide to company shares

Shareholders are the individuals or entities that hold these shares. As the name implies, shareholders are the owners of the company.

This means that anyone interested can easily search for a company on Companies House and view details such as the number of shares, the types of shares, and who owns them.

However, it’s important to note that Companies House may not always have the most up-to-date share information for a company.

Share and shareholder details are included in a company’s incorporation documents. Any changes to shares after incorporation are not required to be reported until the company files its annual confirmation statement.

If a company has altered its shareholding since incorporation and has filed a confirmation statement, the most recent shareholding information will be found in the confirmation statement covering the period in which the change occurred.

The confirmation statement will only display share and shareholder details if there has been a change since incorporation or since the last confirmation statement.

For instance, if a company formed in 2021 transferred shares to a new shareholder during the same year, the 2022 confirmation statement would reflect this change. However, if no further changes occurred, the 2023 confirmation statement would not include share or shareholder information.

To obtain the latest shareholder information, interested parties would need to review the last confirmation statement that included such details.

  1. Enter the company name in the search tool.
  2. Click on the relevant company name.
  3. Select ‘Filing history’.
  4. Scroll to and open the most recent ‘Confirmation statement’ (if available). If this does not include share or shareholder information, check previous confirmation statements (if any).
  5. Continue reviewing confirmation statements until you find share or shareholder information.
  6. If no share or shareholder information is found in the confirmation statements, or if the company has not filed any, check the ‘Incorporation’ documents for this information.

So, while share and shareholder information is included on the Companies House register, it may not always be up to date. The more recent the incorporation or confirmation statement, the more accurate the information is likely to be.
