HopeTex Limited is a private limited company registered in England and Wales. We are an Authorised Corporate Service Provider (ACSP) regulated by HMRC for Anti-Money Laundering purposes. We also operate InvoClouds eFiling, a recognised HMRC software product for electronic filing of corporation tax returns, VAT Making Tax Digital returns, and Companies House submissions.

Company Formation Services
HopeTex Limited is a registered formation agent authorised to incorporate UK limited companies on your behalf at Companies House. By using our formation services, you agree to the following:
You are solely responsible for ensuring that all information you provide to us for the purpose of company formation is accurate, complete, and truthful. This includes the proposed company name, registered office address, director details, shareholder details, and Persons with Significant Control (PSC) information.
The proposed company name is your responsibility to check. We do not conduct trade mark searches on your behalf, and we are not liable for any rejection by Companies House or any trade mark infringement claim arising from your chosen company name.
Identity Verification: Following the Economic Crime and Corporate Transparency Act 2023, Companies House requires identity verification for all directors, PSCs, and subscribers. By proceeding with formation services, you acknowledge this requirement and agree to provide the necessary identification documents or your Companies House personal code as required.
Companies House Fees: Government fees charged by Companies House are payable in addition to our service fees and are non-refundable regardless of the outcome. These fees are set by Companies House and are subject to change.
If a formation application is rejected by Companies House due to incorrect information provided by you, any additional government fees incurred for resubmission are your responsibility.
Once a company has been incorporated, you become the director and are solely responsible for all statutory obligations under the Companies Act 2006, including filing confirmation statements, annual accounts, and notifying Companies House of any changes.
Formation Service Exclusions
Our formation services do not include, and we do not provide:
- Legal advice, tax advice, or any other professional advisory service
- Trade mark searches or clearance opinions
- Ongoing statutory compliance services after incorporation, unless separately purchased
- HMRC registration (Corporation Tax, PAYE, VAT), unless separately ordered
- Business bank account opening, although we may refer you to third-party providers
- Advice on corporate structure, shareholding arrangements, or tax efficiency
Nothing we provide constitutes legal or professional advice, and you should seek independent qualified advice before incorporating a company.
CT600 Corporation Tax Filing
Our CT600 service enables you to prepare and submit Corporation Tax returns directly to HMRC via the Government Gateway. You are solely responsible for the accuracy of all financial data, figures, and entries submitted through our platform.
By providing your HMRC Government Gateway credentials, you authorise us to access HMRC's filing system solely for the purpose of submitting your CT600 return. These credentials are stored securely using AES-256 encryption.
We transmit your return to HMRC and confirm receipt, but acceptance is at HMRC's discretion. We cannot guarantee acceptance of any return. HMRC may accept, query, or reject a return independently of our submission service.
Late filing penalties are levied solely by HMRC based on the date of filing. We are not liable for any penalties arising from your delay in providing complete and accurate information.
Amendments to CT600 returns submitted through our platform are subject to HMRC's 12-month amendment window, calculated from the original filing deadline (which is 12 months after the accounting period end date).
Companies House Electronic Filing
We support electronic filing of over 16 Companies House form types via the GovTalk XML Gateway.
To file documents with Companies House on your behalf, you must provide your valid Companies House presenter credentials (presenter ID and code). These are used solely to authenticate your submissions. You are responsible for ensuring your credentials have the necessary authority for the filings requested.
By submitting any document to Companies House through our platform, you warrant that you have the legal authority to make the filing, that all information is accurate and not misleading, and that the filing complies with the Companies Act 2006.
Documents submitted to and accepted by Companies House are placed on the public register. Once accepted, documents cannot be withdrawn.
Account Registration and Security
To access most services on our platform, you must register for an account. You agree to provide accurate and complete information during registration and to keep your account details up to date.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at admin@hopetex.co.uk if you become aware of any unauthorised access to your account.
We require a business email address for registration. Registrations using free personal email providers (such as Gmail, Hotmail, or Yahoo) are not accepted.
We reserve the right to suspend or terminate accounts where there are reasonable grounds to suspect misuse, fraud, or breach of these Terms.
Acceptable Use
By using our website and platform, you agree not to:
- Submit false, fraudulent, or misleading information to Companies House or HMRC through our services
- Use our services to file on behalf of a third party without their proper authorisation
- Attempt unauthorised access to our platform, servers, or any connected systems
- Introduce viruses, malware, or any harmful code
- Use automated scripts or bots to scrape or extract data from our platform
- Use our services for any unlawful, fraudulent, or harmful purpose
- Misrepresent your identity or professional qualifications
Deliberately submitting false information to HMRC or Companies House may constitute fraud under the Fraud Act 2006 or the Companies Act 2006. We will cooperate fully with any law enforcement or regulatory investigation.
Payment and Billing
All prices are as displayed on our website at the time of purchase and are exclusive of VAT unless stated otherwise. We reserve the right to change our prices at any time, with changes to existing subscription plans communicated with at least 30 days' notice.
Payment is due at the time of order unless otherwise agreed. Where payment is made by bank transfer, services will be provided once payment has been verified, which is typically within one business day of receipt. You must use the payment reference provided by us to ensure timely allocation.
Government fees (such as Companies House registration fees) are payable in addition to our service fees, are non-refundable, and may change without notice.
Where a service has been submitted to Companies House or HMRC, our service fee is non-refundable regardless of the outcome. For services not yet submitted, cancellations may be eligible for a full refund of our service fee, subject to the circumstances.
Anti-Money Laundering Compliance
As an HMRC-supervised Authorised Corporate Service Provider (ACSP), we are required by law to carry out customer due diligence (CDD) on all clients using our formation and company secretarial services. This includes verifying your identity and, where applicable, the identity of beneficial owners and directors.
By engaging our services, you agree to provide any identification or verification documents we reasonably request to comply with the Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017. We may decline to provide services or terminate an engagement where satisfactory evidence of identity cannot be obtained.
We are required to report suspicious activity to the relevant authorities and may be prohibited by law from notifying you that such a report has been made.
Limitation of Liability
To the fullest extent permitted by law, HopeTex Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, or reputational damage, even if we have been advised of the possibility of such losses.
Our total aggregate liability for any claim arising from our services shall not exceed the greater of: (a) the total fees paid by you to HopeTex in the 12 months immediately preceding the claim; or (b) £500.
We are not liable for any fines, penalties, or interest charges levied by HMRC or Companies House arising from incorrect information provided by you, missed deadlines on your part, or decisions made independently by those authorities.
We are not liable for service interruptions caused by third-party systems, including HMRC's Government Gateway, Companies House's GovTalk gateway, or any other government digital service.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.
Intellectual Property
All content on our website and platform, including software, text, images, logos, and design, is the property of HopeTex Limited and is protected by copyright and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any of our content without our prior written consent.
You retain ownership of all data and documents you submit through our platform. By submitting data, you grant us a limited licence to process it solely for the purpose of providing the services you have requested.
Data Protection and Privacy
HopeTex Limited processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our full Privacy Policy is available at hopetex.co.uk/privacy-policy and forms part of these Terms.
We retain tax and company filing records for up to 7 years in accordance with HMRC guidelines. AML customer due diligence records are retained for 5 years from the end of the business relationship.
Links to Third-Party Websites
Our website may contain links to external websites for your information and convenience. We are not responsible for the content, security, or privacy practices of any third-party website. Once you leave our website, we no longer have control over your information, and you should review the relevant third party's privacy policy.
Termination
You may cancel your account or subscription at any time by contacting us at admin@hopetex.co.uk. Access to the platform will continue until the end of your current billing period.
We reserve the right to suspend or terminate your account without notice if you breach these Terms, engage in fraudulent or abusive activity, fail to make payment, or if we are required to do so by law or regulation.
On termination, we will retain your data for 30 days, during which time you may request an export. After this period, data will be deleted subject to any applicable legal retention obligations.
Force Majeure
Neither party shall be liable for any delay or failure to perform their obligations where such delay or failure results from circumstances beyond their reasonable control, including acts of God, government actions, pandemic, cyberattack, or failure of third-party infrastructure.
Governing Law
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed from the remainder of the Terms, which shall continue in full force and effect.
Changes to These Terms
We may update these Terms periodically to reflect changes in our services, legal requirements, or business practices. Where changes are material, we will notify registered users by email at least 14 days before they take effect. The current version of these Terms is always available on our website. Continued use of our services after any update constitutes your acceptance of the revised Terms.
